The anti-exploitation rule can also protect legal entities

Prohibition of exploitation of one person by another. It may be analyzed in legal relationships between legal entities when the harm to dignity is projected onto the individuals who comprise them.

Official heading (Spanish): PROHIBICIÓN DE EXPLOTACIÓN DE LA PERSONA POR LA PERSONA. SU ANÁLISIS ES POSIBLE EN RELACIONES JURÍDICAS ENTRE PERSONAS MORALES, CUANDO LA AFECTACIÓN A LA DIGNIDAD SE PROYECTA EN LAS PERSONAS FÍSICAS QUE LA INTEGRAN.

The ruling

In the same fee dispute, with fees close to the property's value, the Collegiate Circuit Court held that the prohibition in article 21(3) of the American Convention on Human Rights can be analyzed between legal entities. It applies when disproportionate economic advantage affects the dignity of the individuals who make up or act for those entities.

Our take

Until now, the exploitation defense was associated with vulnerable individuals. This ruling opens it to business relationships, provided the harm reaches specific individuals. In practice, we expect it to carry more weight for nonprofits, cooperatives and small companies, where the impact on members is visible. Between companies with advisers and comparable bargaining power, it will be hard to prove. Keep it in mind for adhesion contracts with dominant suppliers and for stacked penalty clauses.

What to do

  • Review adhesion contracts with dominant suppliers for stacked penalty clauses.
  • If raising this defense, prove how the charge affects the individuals behind the entity.
